How does LMS assist your CIPC registration?

With our secretarial services, registering your company is an easy process. By performing the process on your behalf, we assist new owners to focus on managing other areas of their business. To start the process, we would finalise the following information with your input, for the CIPC to process your application.

Company Type

The kind of company you wish to register will determine how your application is processed and what information is required to do so. A completed notice of incorporation will need to be submitted, which contains:

    1. Company Name

We assist our clients in identifying suitable and available names through a name search process to ensure the name selected is not already in use.

    1. Company Registered Address

An official South African address is required where the business may receive official business documentation.

    1. Company Members

Depending on the company you wish to register, you will be required to provide a list of individuals to fulfil the role of incorporators, public officers etc. We assist in the compilation of this list.

Memorandum of Incorporation (MOI)

When a company is registered with the CIPC, a standard Memorandum of Incorporation (MOI) is issued. It contains the rules and regulations that will govern conduct within the company. The MOI also outlines details of the company’s incorporators, the number of directors and the amount of shared capital. If you wish to deviate from the rules set out within this standard MOI, these deviations must be submited along with the registration documentation. Our professionals can assist you in correctly making MOI amendments that meet your needs and complies with provisions set out in The Companies Act of 2008.

Throughout the process of collecting all necessary documentation for a smooth registration, our team ensures that all information submitted in support of the registration is compliant to CIPC requirements.

Why should you register with the CIPC?

  • Registering your small to medium-sized business with the CIPC is crucial to position the company with the correct legal persona to drive business growth.
  • It provides a legal avenue for economic participation.
  • It enables easy scalability.
  • Provides national and international recognition as a legitimate entity.
  • Exposure to regulations allows for improved business transparency.
  • Improves value to shareholders and stakeholders.
  • Better management and growth of business finances.

We can assist with the registration of the following companies:

  • Sole proprietorship
  • Partnership
  • Personal Liability Companies
  • Public Companies
  • Private Companies
Maintaining annual returns with the CIPC

The CIPC requires submission of the business annual return on the anniversary date of the company’s registration. Failing to do so for two consecutive years could result in being automatically entered into a deregistration process, which could damage your business’s ability to trade and result in the loss of assets and liabilities.

How we can assist after registration

After completing your CIPC registration, there will be several other processes to manage monthly and yearly. To ensure the success of your business long after it has been established, our trusted partner, MMS Group, can assist with efficient audit, taxation and a range of accounting services.
