Type of company

When registering your company on your behalf, we will need to understand what type of company you wish to register. This will dictate the required documentation and will guide us throughout the process. A completed notice of incorporation is required and contains vital information such as:

  • Company Name
  • Your desired business name should be unique and appropriately dissimilar to another registered company. We can assist in ensuring that your name is not already chosen before moving through to finalise the process with the CIPC.

  • Company address
  • Every company registered with the CIPC requires a registered address in South Africa. This address does not need to be the physical location of your business but rather where you prefer to receive documentation. Should this address change after the initial company registration, we can assist in processing your registered address amendments.

  • Selecting company members
  • Depending on the type of company you wish to register, we would require a list of incorporators, public officers, directors and shareholders. Details required of these individuals include information such as identity number, place of residence, business address, etc.

Memorandum of Incorporations

At registration, your company will be issued with a standard Memorandum of Incorporation (MOI) that specify the rules that govern the conduct of a company. Should you wish to deviate from this standard draft, you will be required to submit an amended MOI with your application.       2. This is a for-profit private company that is mainly used by “associations” of professional persons e.g. attorneys and accountants.  Past and current directors are fully liable for debts and liabilities within this organisation.

      1. Public companies
      2. A company that has issued shares through a public offering, is traded on at least one stock exchange and has more than 50 shareholders.

      1. Private companies
      2. Similar to closed corporations with fewer transparency requirements. This company requires at least one director.

    According to the CIPC, a company may be registered with or without a name. Where a company is registered without a company name, the registration number will still be issued and serve as the company’s name in the interim.
