How to register a company with our team

To get your business trading successfully, there are a few things we require from you.

Type of company

When registering your company on your behalf, we will need to understand what type of company you wish to register. This will dictate the required documentation and will guide us throughout the process. A completed notice of incorporation is required and contains vital information such as:

  • Company Name
  • Your desired business name should be unique and appropriately dissimilar to another registered company. We can assist in ensuring that your name is not already chosen before moving through to finalise the process with the CIPC.

By doing this, we ensure a smooth process for our clients, free from delays. As the CIPC allows for four name choices to be submitted per application, we recommend that our clients make three additional selections should their original choice be rejected.

  • Company address
  • Every company registered with the CIPC requires a registered address in South Africa. This address does not need to be the physical location of your business but rather where you prefer to receive documentation. Should this address change after the initial company registration, we can assist in processing your registered address amendments.

  • Selecting company members
  • Depending on the type of company you wish to register, we would require a list of incorporators, public officers, directors and shareholders. Details required of these individuals include information such as identity number, place of residence, business address, etc.

Memorandum of Incorporations

At registration, your company will be issued with a standard Memorandum of Incorporation (MOI) that specify the rules that govern the conduct of a company. Should you wish to deviate from this standard draft, you will be required to submit an amended MOI with your application. Our specialists can assist in developing a more fitting MOI that complies with the provisions of The Companies Act of 2008.

FAQ

Company registrations done in South Africa are processed through the Companies and Intellectual Property Commission (CIPC). To ensure compliance with company and intellectual property law, LMS assists small to medium-sized businesses in effectively registering their companies for trade.

The Companies and Intellectual Property Commission (CIPC) is an agency of South Africa’s Department of Trade and Industry. The CIPC was created to monitor domestic business entities and ensure their compliance with relevant company and intellectual property law.

The following companies can be registered through the Companies and Intellectual Property Commission (CIPC):

    1. Sole proprietorship
    2. A company consisting of a stand-alone owner without partners or co-founders.

      1. Partnership
      2. An organisation consisting of two or more founding partners.

      1. Personal liability companies
      2. This is a for-profit private company that is mainly used by “associations” of professional persons e.g. attorneys and accountants.  Past and current directors are fully liable for debts and liabilities within this organisation.

      1. Public companies
      2. A company that has issued shares through a public offering, is traded on at least one stock exchange and has more than 50 shareholders.

      1. Private companies
      2. Similar to closed corporations with fewer transparency requirements. This company requires at least one director.

According to the CIPC, a company may be registered with or without a name. Where a company is registered without a company name, the registration number will still be issued and serve as the company’s name in the interim.

The entity can apply for a reserved name at a later stage. To ensure the protection of your brand, we can assist in easily reserving and registering your company name with the CIPC. Learn more here.

SARS requires all new companies to register for an income tax reference number within 60 days of starting their operations. To ensure that this process is conducted timeously, our trusted partner MMS Group can assist with efficient registrations and accounting services to assist your business in maintaining compliance.

The importance of registering your company with CIPC

Registration allows your company to legally participate in the South African economy and be nationally and internationally recognised as a legitimate entity.

Bank accounts can be established with a registered financial institution to better separate personal and business finances. This improves financial management and offers the ability to apply for a business loan. The exposure brought about by CIPC regulations allows for better growth and transparency in operations which is valuable to shareholders and stakeholders. This edge allows for easier growth and scalability.
